Visioner CRM User Terms

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Visioner CRM, including the website, local Mac app, web app, cloud services, beta programs, Account Community, Visioner Credits, and related support services (collectively, the "Service"). The Service is operated by Ronisens Inc. ("Visioner," "we," "us," or "our"). By creating an account, clicking accept, downloading the app, or using the Service, you agree to these Terms and the Privacy Policy.

2. Eligibility and authority

You must be at least 18 years old and able to enter into a binding agreement. If you use the Service for a company or other organization, you represent that you have authority to bind that organization to these Terms.

3. Accounts and verified emails

You agree to provide accurate account information and keep it current. You are responsible for your account, passwords, devices, exports, and all activity under your account. Visioner may support personal login emails and separately verified work email addresses. Verified sender emails may be used to route BCC capture or cloud records to the correct workspace.

4. Beta service

Visioner may be offered as an alpha, beta, preview, or early-access service. Beta features may change, break, lose data, be discontinued, or have limited support. You should keep independent backups of important data and should not rely on beta features for mission-critical records without your own backup process.

5. Local app and cloud features

Visioner may include local-first features and optional cloud features. Local data may be stored on your device. Cloud features such as cloud sync, BCC capture, Contact Enrichment, Intelligence, AI summaries, community features, file backup, and team collaboration require network access and may process data in Visioner cloud systems or with service providers.

6. User content and ownership

You retain ownership of content you submit to the Service, including account plans, contacts, projects, notes, files, tasks, email logs, community posts, and contributed data ("User Content"). You grant Visioner a worldwide, non-exclusive license to host, process, copy, transmit, display, modify, and use User Content as needed to provide, secure, support, and improve the Service.

You represent that you have the rights and permissions needed to submit User Content and that doing so does not violate law, confidentiality duties, employer policies, customer contracts, or third-party rights.

7. BCC capture

If you BCC or forward emails to Visioner, you authorize Visioner to process those messages for routing, summarization, contact detection, project classification, activity logging, waiting-reply reminders, and related CRM functions. You are responsible for ensuring that sending emails to Visioner is permitted by your employer, customers, contracts, and applicable law.

8. Visioner Credits

Visioner Credits may be used for cloud actions such as Inspire Me, Contact Enrichment, AI summaries, org chart discovery, or outreach drafts. Credits have no cash value, are not legal tender, are non-transferable unless we allow it, and may expire or be subject to plan limits as disclosed in the product or pricing page. We may change credit packages, consumption rules, and feature availability with reasonable notice.

9. Third-party services and data

Visioner may integrate with third-party services, such as AI model providers, email providers, enrichment providers, payment processors, or hosting providers. Third-party services may have their own terms and restrictions. Visioner does not guarantee the accuracy, completeness, legality, availability, or suitability of third-party data. You are responsible for how you use enriched, AI-generated, or third-party-sourced output.

10. Contact contributions

If Visioner offers contact contribution features, you may choose to contribute selected business contact facts to the Visioner Network. Contribution is optional. You must not contribute confidential information, personal notes, private relationship assessments, non-public strategy, or data that you are not allowed to share. Visioner may review, reject, edit, deduplicate, use, and make contributed business facts available as part of the Service.

11. Account Community

Account Communities are optional spaces where users may discuss specific accounts, request help, and share general learnings. Handles may be anonymous or pseudonymous, but anonymity is not guaranteed. Do not post confidential customer information, trade secrets, regulated information, unlawful content, harassment, spam, or anything you are not authorized to share. We may moderate or remove content and restrict community access.

Paid plans, usage limits, add-ons, and credit packages are described on the pricing page or in an order form. Beta prices may change. Unless otherwise stated, fees are non-refundable except where required by law. If a payment fails or your plan is canceled, we may downgrade, suspend, or limit paid features.

14. Intellectual property

Visioner and its licensors own the Service, software, design, branding, documentation, and related intellectual property. These Terms do not transfer any ownership rights to you. You may use the Service only as permitted by these Terms.

15. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Visioner disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation. Visioner is not legal, financial, investment, employment, or compliance advice.

16. Limitation of liability

To the maximum extent permitted by law, Visioner will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, goodwill, or replacement services. Visioner's total liability for all claims related to the Service will not exceed the greater of the amount you paid to Visioner for the Service in the three months before the event giving rise to the claim or US $100.

You will defend, indemnify, and hold harmless Visioner from claims, damages, liabilities, costs, and expenses arising from your User Content, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.

18. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if we believe you violated these Terms, created risk, failed to pay fees, or used the Service in a way that may harm Visioner, users, or third parties. After termination, we may delete or retain data as described in the Privacy Policy and as required for legal, security, backup, or legitimate business purposes.

19. Governing law

These Terms are governed by the laws of the United States and the state in which Ronisens Inc. is incorporated or principally operates, without regard to conflict-of-law rules, unless applicable law requires otherwise. Courts in that jurisdiction will have exclusive venue for disputes not subject to informal resolution.

20. Changes

We may update these Terms from time to time. If changes are material, we will take reasonable steps to notify users or require renewed acceptance. Continued use of the Service after changes become effective means you accept the updated Terms.
